Abstract

5411 sayılı Bankacılık Kanunu’na (BanK) göre, bankaların anonim şirket şeklinde kurulması zorunludur (BanK m. 7-a). Ancak, TTK’da olduğu gibi, BanK’ta yönetim kurulunun yönetim ve temsil yetkisinin devrini düzenleyen özel hükümler yer almamaktadır. Banka şube müdürünün usulsüz kredi açması nedeniyle bankayı zarara uğratması halinde, bankanın müdüre karşı sorumluluk davası açabilmesi için, Yargıtay’ın bir kararında belirtildiği üzere, TTK m. 367/1 uyarınca yönetim yetkisinin devredilmesi gerekli midir? Bu çalışmanın konusunu şube ve yönetici kavramları ile yönetim kurulunun yönetim ve temsil yetkisinin devrinin BanK ve TTK açısından incelenmesi oluşturmaktadır.

According to the Banking Law (BanL) numbered 5411, banks must be established as joint stock companies (BanL art. 7-a). Unlike the Turkish Commercial Law (TCC), the BanL does not contain special provisions regulating the delegation of the power of management and representation of the board of directors. As stated in a decision of the Court of Cassation, in the event that the manager of a branch bank causes a loss to the bank due to open an unlawful loan, is it necessary to delegate the management authority pursuant to article 367/1 of TCC in order for the bank to file a liability lawsuit against the manager? This study examines the concepts of branch and manager and the delegation of the power of management and representation of the board of directors from the perspective of the BanL and the TCC.
