Paya dayalı kitle fonlamasında emanet yetkilisinin saklama prosedürü ve fıkhi açıdan değerlendirmesi

Abstract

Küresel boyutta tün dünyayı etkisi altında alan 2008 ekonomik krizi, beraberinde kitle fonlamasını gündeme getirmiştir. Zira bu kriz, girişimcileri ve şirketlerin ekseriyetini finansal sıkıntılarla baş başa bırakmıştır. Bu sıkıntıları aşmak için ise bankaların sunmuş oldukları finansman modelleri, çoğu zaman olumsuz sonuçlanmıştır. Buna binaen, bu likidite problemine karşı bir alternatif gerekiyordu. İşte bu noktada kitle fonlaması devreye girmiştir. Kitle fonlamasının gündeme gelmesiyle ve tüm Dünya’da insanların ilgisini çekmesiyle farklı modeller geliştirilmiştir. Bu modellerden bir tanesi de paya dayalı kitle fonlaması modelidir. Türkiye’de resmiyet kazanan bu model, diğer ülkelere nazaran farklılık arz etmektedir. Zira Türkiye’de fonlar platformlardan ziyade emanet yetkilisi olan tarafta toplanmaktadır. Bu çalışma, paya dayalı kitle fonlamasında yer alan emanet yetkilisinin mahiyetini ve uygulamasını detaylı bir şekilde ele aldıktan sonra, bunun fıkhi açıdan tahlili yapılmıştır. Ayrıca hem Takasbank’a hem de emanet yetkilisi görevini üstlenebilecek diğer portföy saklama kuruluşlarına yönelik bazı önerilerde bulunmaktadır.

Crowdfunding became widespread with the 2008 crisis. Because this crisis left entrepreneurs and the majority of companies alone in the face of financial difficulties. In order to overcome these problems, the financing models offered by conventional banks were incompetent. Therefore, an alternative to this financial problem was needed. Thus, crowdfunding appeared. With the emergence of crowdfunding around the world, several models based on this financing have developed. One such model is the equity crowdfunding model. This model, now regulated in Turkey, differs from the regulations of other countries. Because in Turkey, the funds are collected by an escrow agent, not by the platform. In this study, the application of escrow agent involved in equity crowdfunding is going to be investigated first. Then this application will be analyzed according to Islamic jurisprudence. Moreover, this study also offers some suggestions for Takasbank (the current escrow agent) as well as other institutions that can provide these same services.
