Limited Şirketlerde Pay Sahiplerinin Bilgi Alma ve İnceleme Hakkı

Abstract

Bu çalışma İstanbul Sabahattin Zaim Üniversitesi Lisansüstü Eğitim Enstitüsü Hukuk Fakültesi yüksek lisans öğrencisi Afra Fırat tarafından İstanbul Sabahattin Zaim Üniversitesi Lisansüstü Eğitim Enstitüsü Hukuk Fakültesi yüksek lisans tezi olarak 2024 yılında hazırlanmıştır. Bu çalışmanın konusu "Limitet Şirketlerde Pay Sahiplerinin Bilgi Alma Ve İnceleme Hakkı''dır. Tez çalışması dört bölümden oluşmaktadır. Birinci bölümde, teze teorik bir çerçeve oluşturmak amacıyla, bilgi alma ve inceleme hakkı kavramları üzerinde durularak, bu hakların hukuksal açıdan değerlendirilmesi yapılacak, hakkın amacı ve hukuki niteliği anlatılacaktır. Çalışmanın ikinci bölümünde, bilgi alma ve inceleme hakkının konusu, kapsamı, özellikleri ve anonim şirketlerde pay sahibinin bilgi alma ve inceleme hakkından farklılıkları anlatılacaktır. Çalışmanın üçüncü bölümünde, bilgi alma ve inceleme hakkının kullanılması ve sınırları konusu incelenecektir. Bu kapsamda, hakkın tarafları ve kullanılma usulü anlatılarak, hakkın hangi şartlarda sınırlanabileceği konusunda bilgilendirme yapılacaktır. Tezin son bölümünde, bilgi alma ve inceleme hakkının kullanılmasının engellenmesi ve buna ilişkin hukuki süreç anlatılacaktır. Çalışmamız kapsamında, tez konusunun dışına çıkmayacak şekilde literatürde yayımlanmış eserlerden, yüksek lisans ve doktora tezlerinden, makalelerden, yargıtay kararlarından, yeni ve mülga kanunlardan yararlanılmıştır. Tezdeki araştırmamızın temel amacı, Türk Ticaret Kanunu'nda temel ticari şirketlerden biri olarak düzenlenen ve ülkemizde tercih edilen şirket türü olan limitet şirketin pay sahiplerine iç denetim yükümlülüğü veren bilgi alma ve inceleme hakkının kapsamını, düzenlenme şeklini ve kanunda açıkça belirtilmeyen hususları öğretideki görüşler çerçevesinde incelemektir.

This study was prepared by Afra Fırat, a graduate student of Istanbul Sabahattin Zaim University Institute of Graduate Studies, Faculty of Law, as a master's thesis by Istanbul Sabahattin Zaim University Institute of Graduate Studies, Faculty of Law, in 2024. The subject of this study is "Shareholders Right to Obtain and Examine Information in Limited Liability Companies". The thesis is comprised of four chapters. In the initial chapter, in order to establish a theoretical framework for the thesis, the concepts of the right to obtain and the review information will be emphasised, the legal evaluation of these rights will be conducted, and the purpose and legal nature of the right will be explained. In the second part of the study, the subject, scope and characteristics of the right to obtain and review information and its differences from the shareholders right to obtain and review information in joint stock companies will be explained. In the third part of the study, will examine the exercise and limitations of the right to obtain and examine information. In this context, the parties and the procedure for the exercise of the right will be explained, and information will be provided on the conditions under which the right may be limited. In the last part of the thesis, the prevention of the exercise of the right to obtain and examine information and the related legal process will be explained. Within the scope of our study, the works published in the literature, master's and doctoral theses, articles, decisions of the Court of Cassation, current and repealed laws have been used in a way not to go beyond the subject of the thesis. The main purpose of our research in this thesis is to examine the scope of the right to obtain and review information, which is regulated in the Turkish Commercial Code as one of the basic commercial companies and which imposes an internal audit obligation on the shareholders of limited liability companies, which is the most preferred type of company in our country, the way it is regulated and the issues that are not explicitly stated in the law within the framework of the opinions in the doctrine.
